Greensborough

Property + Commercial: NDL acts in $123m sale of major Greensborough community and affordable housing development

NDL acted in a $123 million turnkey sale of a major community and affordable housing development in Greensborough comprising a 17-storey residential tower together with ground-floor retail and commercial uses. NDL’s involvement in the project extended from the original acquisition of the property from global private equity firm Blackstone through to the development and ultimate sale transaction. The transaction involved a complex delivery and funding structure linked to the Federal Government’s Housing Australia Future Fund (HAFF). NDL advised across the broader transaction lifecycle, including property and sale structuring, existing leasing arrangements, development and construction interfaces, finance and the negotiation of the bespoke turnkey sale documentation.

NDL acts for private property development and investment client group in a $208 million property finance transaction

Property + Commercial: NDL acts for private property development and investment group in $208 million property finance transaction involving real estate assets valued at over $300 million.

This transaction involved a Balmain, Qualitas and Westpac funded refinance of assets, including large format retail pre-development sites leased to ASX-listed retailers with Agreements for Lease and Leases negotiated with NDL’s assistance, high density apartment development sites where NDL was acting in the high volume off the plan sales and freehold hotel and accommodation assets where the key contracts were negotiated with NDL’s assistance. The transaction demonstrates Nine Dots Legal’s expertise in managing the legal aspects of complex property and finance transactions and introducing key stakeholder relationships.

Commercial + Corporate: NDL advises Australia’s leading pharmaceutical commercialisation company in M&A deal with French based global consulting firm PLG

NDL advises Commercial Eyes on its merger into ProductLife Group. Commercial Eyes is Australia’s leading pharmaceutical and medical device commercialisation company, specialising in regulatory affairs, pharmacovigilance, medical information, quality assurance, market access, market research and patient programs. ProductLife Group is a French based global provider of consulting services for life sciences industries. NDL’s M&A team advised Commercial Eyes throughout the transaction, which involved various commercial, corporate, tax, cross border and regulatory issues.

Commercial + Corporate: NDL acts for Hong Kong based consortium in acquisition of Beaconsfield Gold Mine and multiple tenements

NDL acted for a Hong Kong based consortium in the acquisition of the Beaconsfield open cut gold mine, inclusive of tenements, gold processing plant and other assets. NDL continues to advise the purchaser in relation to capital raising in order to reopen the mine.

Property: NDL acts for developer in $1 billion development of the former Pentridge Prison site in Coburg

NDL acted on behalf of a developer in relation to its acquisition and $1 billion development of a 4.2ha site in Coburg, being the former Pentridge Prison, into a master planned mixed-use residential community and hospitality precinct including acting on behalf of the vendor in the sale and settlement of 160 apartments off the plan, leasing transactions, a complicated debt finance deal and the eventual sale of part of the site for $45m.

Shopping Complex

Property: NDL acts for local developer/investor in acquisition and $150m redevelopment of the Mornington Village Shopping Centre

NDL acted on behalf of the purchaser in relation to the acquisition and $150m re-development of the Mornington Village Shopping Centre, a 1.31 hectare site, and the negotiation of all shopping centre leases on behalf of the landlord including the negotiation of Agreements For Lease and Leases with international and national tenants.

Property: NDL acts for developer in rare and complex acquisition of an Albert Park site involving 20 separate vendors and proposed $140m development

NDL acted for the purchaser of an amalgamated site comprising 20 separately titled properties in Albert Park involving complex negotiations with 20 separate vendors in a rare, successful collective bargaining transaction. NDL also acted in relation to a complex finance transaction connected with the proposed $140m development of the site.

Litigation: NDL acts in Supreme Court win to allow $46 million Queensland golf course sale to proceed.

NDL acted for vendors, unit holders and guarantors in DK OGP Pty Ltd v Onkar Global Properties Pty Ltd & Ors (S ECI 2026 01352), Supreme Court of Victoria (Commercial Court), arising from the proposed $46 million sale of a Queensland golf course. An interim injunction obtained by a minority stakeholder prevented the transaction from completing. NDL’s Litigation Team proactively sought orders to dissolve the injunction while also addressing a competing third-party security interest affecting the transaction. Approximately six weeks after the injunction was imposed, it was dissolved in full, clearing the sale to proceed. The minority stakeholder was also ordered to pay our clients’ legal costs, resulting in a six-figure costs order in our clients’ favour. NDL also acted in the eventual $46m sale to Alceon.
